一般而言，商事法包含了公司法、票據法、保險法、海商法以及證券交易法。如要詳盡講述每單一法律，可能須花費好幾學期的時間。而受限於本課程之時間僅限於一學期（每星期三節課），實無法達此目標。有鑑於此，本課程乃選擇與企業法制的核心即公司法作為主要講述之對象。
Generally speaking, commercial law includes Company Act , Law of Negotiable Instruments, Maritime Code, Insurance Act and Securities and Exchange Act. However, it may take some semesters to teach all contents of commercial law for various facets. Therefore, constrained by the time limit of only one semester, this course will focus on the Company Act.
